These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and M37, Inc., doing business as ReMynd ("ReMynd," "we," "us," or "our"), governing your access to and use of the ReMynd website, mobile applications, desktop software, browser extensions, cloud services, and any related media, tools, features, or platforms (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Eligibility

You must be at least 13 years old (or the age of digital consent in your jurisdiction) to use the Service. If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

2. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide notice (e.g., by email, in-app notifications, or through the website). Continued use of the Service after updated Terms take effect constitutes acceptance.

3. The Service

ReMynd provides a personal AI assistant and memory tool, which may include:

• AI query processing
• Local device processing of data (unless cloud features are enabled)
• Context search tools
• Call transcription
• Optional encrypted cloud storage
• Integrations with third-party applications or AI models
• Browser, desktop, and mobile interfaces

We may modify, suspend, or discontinue any part of the Service at any time, with or without notice.

4. Account Registration & Security

You may need an account to access certain features. You agree to:

(a) provide accurate and current information

(b) maintain and update your information

(c) keep your password secure

(d) be responsible for all activity under your account

We may reclaim or remove a username if it is inappropriate, misleading, or violates our policies.

5. Subscription Plans & Fees

5.1 Free Tier (Starter)

May include features such as:

• Limited AI queries
• Limited call transcription
• Limited search
• Local-only data storage
• Standard support

5.2 Paid Plans

Examples include Personal and Professional tiers, which may offer:

• Higher AI query limits
• Additional transcription hours
• Encrypted cloud services
• Device-local LLM integrations
• Priority support
• Increased storage

5.3 Billing & Auto-Renewal

Subscriptions automatically renew unless canceled.

You authorize us to charge your payment method for each renewal cycle.

5.4 Pricing Changes

We may modify pricing with reasonable notice. Continued use after changes take effect constitutes acceptance.

5.5 Refunds

Except where required by law, all fees are non-refundable.

We may, in our sole discretion, issue refunds or credits.

6. User Content & Permissions

"User Content" refers to any content you submit, generate, upload, or store through the Service.

You retain ownership of your User Content.

You grant ReMynd a limited, non-exclusive license to process and transmit User Content solely to operate the Service.

6.1 Local Processing

By default, User Content is processed and stored locally on your device.

6.2 Optional Cloud Storage

If you enable cloud features:

• Data may be encrypted and stored on ReMynd-managed cloud servers
• You authorize us to transmit and store this data on your behalf
• If you downgrade or cancel, cloud data may be deleted after a retention period

6.3 Prohibited Content

You may not upload or generate content that is illegal, harmful, infringing, or violates the rights of others.

7. Intellectual Property

The Service (excluding User Content) — including software, databases, UI/UX, trademarks, and content – is owned or licensed by ReMynd.

You receive a limited, non-exclusive, non-transferable license to use the Service for personal or internal business purposes.

8. Prohibited Activities

You agree not to:

• Reverse-engineer, decompile, or modify the Service
• Access the Service using unauthorized automated tools
• Attempt to circumvent usage limits or subscription features
• Interfere with or disrupt the Service
• Upload malicious code
• Use the Service to develop a competing product
• Use the Service for unlawful purposes

We may suspend or terminate accounts that violate these rules.

9. Third-Party Services & Integrations

Certain features depend on third-party APIs, cloud services, LLMs, or integrations.

ReMynd is not responsible for:

• Downtime or errors caused by third-party providers
• Their terms or privacy practices
• Data processed by external platforms

Your use of third-party services is governed by their policies.

9.1 External AI Processing

Some features, including "Ask," search enhancements, reasoning tools, summarization, and contextual AI, require sending limited portions of User Content to external large language model ("LLM") providers such as OpenAI, Anthropic, and Google.

By using these features, you acknowledge and agree that:

• Only the specific text needed to fulfill your request is transmitted
• Your full history, recordings, or memory database are never sent
• Data is encrypted in transit
• ReMynd does not allow these providers to train their models on your data
• ReMynd does not store or log the data sent to third-party models beyond what is necessary to operate the feature

If you do not want data transmitted to external LLMs, you should not use features that require them.

9.2 Optional Local LLM Integrations (LM Studio)

ReMynd supports optional integration with locally hosted LLMs through tools such as LM Studio.

If you choose to connect a local model, you acknowledge and agree that:

• All AI processing occurs entirely on your own device
• No data is transmitted to ReMynd or any external model provider
• You are solely responsible for configuring, securing, and maintaining your local LLM environment
• ReMynd does not access, collect, store, or process any data sent to or generated by your local model
• This option is provided to give users full local-control alternatives but is entirely user-managed.

10. Data Security & Privacy

Our Privacy Policy explains how we collect, process, and protect data. By using the Service, you consent to the practices described in that policy.

We implement industry-standard security measures but cannot guarantee absolute security.

11. Termination

You may stop using the Service at any time. We may suspend or terminate access if you:

• Violate these Terms
• Misuse the Service
• Fail to pay subscription fees

Upon termination, your license ends, and local or cloud data may be deleted.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

REMYND DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee:

• uninterrupted or error-free service
• accuracy of AI-generated content
• prevention of data loss

12.1 No Professional Advice

AI-generated output is for informational purposes only and does not constitute legal, medical, financial, or professional advice.

You are solely responsible for how you use AI-generated content.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REMYND AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS
• DAMAGES ARISING FROM AI-GENERATED OUTPUT

IN NO EVENT WILL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

Some jurisdictions do not allow certain limitations—those may not apply to you.

14. Indemnification

You agree to indemnify and hold ReMynd harmless from claims, damages, or expenses arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any law or third-party rights

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California.

Disputes will be resolved through binding arbitration in San Francisco County, California.

You waive the right to participate in a class-action lawsuit.

16. Assignment

You may not transfer or assign these Terms. ReMynd may assign these Terms in connection with a merger, acquisition, or sale of assets.
